Terms of sale

Version of 22 October 2026. This translation is provided for information; the French version prevails.

These general terms of sale and use (the "Terms") apply between Flexi Solutions, a SASU with share capital of €10,000, registered with the Annecy Trade and Companies Register under no. 984 685 305, VAT FR79984685305, with its registered office at 86 Impasse de Mallet, 74150 Moye, France ("Flexi Solutions"), and any person who subscribes to the Flexi Keys service (the "Customer"). Contact: contact@flexisolutions.fr.

Article 1 – Purpose and scope

These Terms set out the conditions under which the Flexi Keys service is provided and, where applicable, devices are sold or rented. They apply to business customers and consumers alike. Provisions reserved for consumers are identified as such. Any subscription implies acceptance of these Terms, which prevail over any other document of the Customer.

Article 2 – Definitions

Article 3 – Subscription

The Customer contacts Flexi Solutions or tries the demo space. Flexi Solutions checks that the vehicles are compatible and creates the Customer's space and the account of its first administrator. The Customer then subscribes from their space, on the "Subscription" page: they review the summary (number of vehicles, any Device rental, prices), accept these Terms and register a payment method on Stripe's secure payment page (bank card or SEPA direct debit, with a SEPA mandate). The subscription is concluded when the payment is validated and is confirmed by email. Device purchase and installation are ordered separately.

Article 4 – Description of the Service

The Service enables the Customer in particular to:

The Service sends a command to the vehicle; it does not guarantee its execution, which depends on the mobile network, the condition and battery of the vehicle and its compatibility. Unless stated otherwise, "unlocked" or "locked" reflects the last successful command, not the actual state of the locks. The Customer keeps a fallback solution (key, on-site intervention). Booking import depends on the format of the platforms' emails; Flexi Keys is not affiliated with any rental platform.

Article 5 – Devices

Compatibility. Before the order, Flexi Solutions tells the Customer whether the vehicles are compatible and which functions are available for each model. Only Flexi Solutions links a Device to a vehicle. The Customer warrants that they own the equipped vehicles or are authorised by their owner.

Purchase. A purchased Device becomes the Customer's property once its price has been paid in full. Risk passes to the Customer on delivery.

Rental. A rented Device remains the property of Flexi Solutions. The rental has a minimum term of three (3) months, then continues month by month. The Customer keeps the Device in good condition and does not transfer or lend it. At the end of the rental, the Customer returns it within fifteen (15) days, at their own expense, to the address given by Flexi Solutions. Failing that, the Device is invoiced at the current purchase price (article 9). If a rented Device fails, Flexi Solutions diagnoses the fault and decides, case by case, on the terms of repair or replacement. Loss, theft and breakage remain the Customer's responsibility.

Article 6 – Installation

The Customer installs the Device themselves by following the guide provided by Flexi Solutions, or has it installed, using this guide, by the professional of their choice (garage, car centre): installation is then carried out under their responsibility, at that professional's rates, and Flexi Solutions, which does not charge for it, is not liable for damage caused to the vehicle by the installation. On request, Flexi Solutions may offer another installation solution on a personalised quote, accepted by the Customer before any intervention. The Customer checks with the manufacturer or insurer any effect an installation may have on the vehicle's warranty and insurance.

Article 7 – Accounts and security

Each User has a personal account protected by a password and two-factor authentication. The Customer keeps credentials confidential, deactivates the accounts of people who no longer need access and informs Flexi Solutions without delay of any unauthorised use.

An access link can unlock a vehicle: the Customer sends it only to the Renter concerned and deactivates without delay any compromised link or cancelled rental.

Article 8 – Customer obligations

The Customer undertakes to:

Article 9 – Prices

The applicable prices are the current prices displayed on the Pricing section of the flexikeys.fr website and in the Flexi Keys application on the day of the order. They are shown including VAT and excluding VAT, for the Service subscription (per month per subscribed vehicle), Device purchase and Device rental (per month, three-month minimum). They are repeated in the order summary, which the Customer accepts before paying.

The price of an installation on quote appears in the quote accepted by the Customer before the intervention.

For an existing subscriber, the prices accepted at the time of the order continue to apply until they are revised under the conditions below. VAT is charged at the rate in force on the invoice date.

Price review. Flexi Solutions may revise its prices at most once per calendar year. Any increase in the price of the subscription or of the Device rental is notified to the Customer at least thirty (30) days before it takes effect, by a message displayed in the Customer's account in the application (banner and notification) and, where applicable, by email. The Customer may acknowledge it from their account; this acknowledgement is kept. The new price applies from the first subscription renewal falling on or after the effective date. A Customer who does not accept the increase may cancel the subscription free of charge before that date, from the “Subscription” page of the application; otherwise the new price applies.

Article 10 – Invoicing and payment

Monthly invoice. The Customer chooses, from the page of each vehicle fitted with a Device, which vehicles they subscribe to the Service. The subscription is invoiced monthly, in advance, at the unit price multiplied by the number of subscribed vehicles; the amount is adjusted automatically, pro rata, at each activation or deactivation. Vehicles that are not subscribed, including those without a Device, can be managed free of charge (schedule, rentals, maintenance), without the connected features. Device rental appears on the same invoice, on a separate line. Device purchase and installation are invoiced separately, on order.

Payment methods. Payment is made by bank card or SEPA direct debit through the payment provider Stripe. Bank details are processed by Stripe and never stored by Flexi Solutions. From their space, the Customer opens the Stripe customer portal to change card or IBAN, download invoices and cancel.

Payment failure. If a payment is declined, the Customer is notified immediately and Stripe retries the payment. If the invoice is still unpaid fifteen (15) days after its due date, access to the owner dashboard is suspended, except for the "Subscription" page and data export. Rentals already under way continue until their end: Renters' access links remain valid until those rentals end. Access is restored as soon as payment is made.

For Business customers, any late payment also automatically incurs penalties at three times the French legal interest rate and a fixed €40 recovery fee (articles L441-10 and D441-5 of the French Commercial Code).

Article 11 – Term, cancellation and suspension

No commitment. The subscription has no fixed term. The Customer may cancel it at any time from their space ("Subscription" page) or by email to contact@flexisolutions.fr; they may also unsubscribe some of their vehicles. Cancellation takes effect at the end of the current monthly period; the month started remains due and is not refunded.

Device rental. Cancelling a Device rental before the end of the first three months makes the remaining monthly payments up to that term due. The Device is returned within fifteen (15) days; failing that, it is invoiced at the current purchase price (articles 5 and 9).

Suspension. In addition to non-payment (article 10), Flexi Solutions may suspend the Service for a serious breach by the Customer, after formal notice that remains unanswered for fifteen (15) days. If the security of the Service is threatened, it may suspend it without notice, including the access links concerned; the Customer remains responsible towards its Renters.

End of contract. The Customer may export their data for thirty (30) days after cancellation; it is then deleted as set out in the privacy policy and the data processing agreement.

Article 12 – Right of withdrawal (Consumers)

Consumers have fourteen (14) days to withdraw, without giving a reason and without costs other than those set out below. This period runs from the conclusion of the contract for the Service and from receipt of the Device for its purchase or rental. Consumers exercise this right by an unambiguous statement sent to contact@flexisolutions.fr, or using the model form at the end of this page.

Flexi Solutions refunds the amounts paid within fourteen (14) days of the withdrawal, using the same means of payment. For a Device, the refund may be withheld until it has been returned; return costs are borne by the Consumer. If the Consumer expressly asked for the Service to start before the end of the period, they pay for the Service provided until withdrawal. If an installation on quote was carried out at the Consumer's request before the end of the period, it remains due.

Article 13 – Legal guarantees (Consumers)

A purchased Device benefits from the legal guarantee of conformity (articles L217-3 et seq. of the French Consumer Code) for two years from delivery, and from the guarantee against hidden defects (articles 1641 et seq. of the French Civil Code). The Service benefits from the legal guarantee of conformity for digital content and services throughout the subscription. To use it, the Consumer writes to contact@flexisolutions.fr.

Article 14 – Availability and support

Flexi Solutions makes reasonable efforts to keep the Service available 24 hours a day, 7 days a week, except for maintenance, announced when scheduled, and incidents beyond its control (mobile network, suppliers, internet). This is an obligation of means. Support is provided by email at contact@flexisolutions.fr on working days.

Article 15 – Liability

Flexi Solutions is not liable for the consequences of a command not executed by the vehicle, an access link passed to a third party by the Customer, an installation carried out by the Customer, or improper use of the Service.

Towards Business customers, Flexi Solutions is liable only for proven direct damage resulting from a breach of its obligations, excluding indirect damage (loss of turnover or customers, vehicle downtime); its total liability is limited to the amounts invoiced to the Customer in the twelve months preceding the event. These limits do not apply in the event of gross negligence or wilful misconduct, nor to Consumers, whose statutory rights remain unaffected.

Article 16 – Intellectual property

The Service, its code, its documentation and the Flexi Keys trademark remain the property of Flexi Solutions. The Customer is granted a personal, non-exclusive, non-transferable right of use for the term of the contract. Data entered by the Customer remains its property.

Article 17 – Personal data

For Users' data, Flexi Solutions is the data controller (see the operator area privacy policy). For Renters' and vehicles' data, the Customer is the data controller and Flexi Solutions acts as processor, under the data processing agreement (in French) given to the Customer on subscription, which forms part of the contract.

Article 18 – Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code.

Article 19 – Changes to these Terms

Flexi Solutions may amend these Terms. Any change is notified to the Customer at least thirty (30) days before it takes effect, by a message in the Customer's account in the application (a banner shown until that date, plus a notification) and, where applicable, by email. The message states the effective date, summarises the changes and gives access to the full new Terms. The Customer's acknowledgement is recorded.

A Customer who does not accept the new Terms may cancel the subscription free of charge before their effective date, from the “Subscription” page of the application. Otherwise, the new Terms apply from that date. The applicable version is the one accepted on order, then the one so notified. The current Terms and their previous versions remain available on the website.

Article 20 – Complaints, mediation and disputes

Any complaint should be sent to contact@flexisolutions.fr. After a written complaint that remains unresolved, Consumers may refer the matter free of charge to the consumer mediator: CM2C – Centre de la Médiation de la Consommation de Conciliateurs de Justice, 49 rue de Ponthieu, 75008 Paris, France, www.cm2c.net (online referral) or declarer-un-litige@cm2c.net.

These Terms are governed by French law. Failing an amicable settlement, disputes with a Business customer fall under the exclusive jurisdiction of the Annecy commercial court; disputes with a Consumer fall under the courts designated by law.
